These Terms of Use ("Terms") govern access to and use of the VeriCord website, platform, applications, project workspaces, review functionality, Ask VeriCord, and related services (collectively, the "Services") provided by VeriCord ("VeriCord," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.
A signed order form, Master Services Agreement, or Pilot Agreement controls if it conflicts with these Terms. These Terms should be read with the professional judgment disclaimer, the privacy notice, and the acceptable use rules.
Eligibility and authority
You must be legally capable of entering into a binding agreement. If you use the Services for an organization, you confirm that you are authorized to bind that organization, and "you" includes that organization. The Services are intended primarily for business and professional use.
Accounts and access
You are responsible for maintaining accurate account information and for safeguarding your sign-in method. Accounts may not be shared except as the applicable plan expressly permits. You are responsible for activity under your account and for telling us promptly about suspected unauthorized access.
Workspace owners and administrators control membership and the reviews in that workspace. VeriCord may suspend access when that is reasonably necessary to protect the Services, customer data, security, or other users.
Customer content and project data
"Customer Content" means plans, specifications, addenda, standards, images, files, prompts, messages, comments, metadata, and other information submitted to the Services by or for a customer.
As between the parties, you retain ownership of Customer Content. You grant VeriCord a limited, non-exclusive right to host, copy, process, transmit, analyze, and display Customer Content solely as necessary to provide, secure, support, and improve the Services, in line with these Terms and the privacy notice. That includes sending the portions required for a review or an in-product question to the model providers named on the subprocessors list.
You represent that you have the rights, permissions, and authority needed to submit Customer Content and to permit that processing.
VeriCord outputs
"Outputs" include candidate findings, summaries, classifications, comparisons, references, reports, exports, and responses generated through the Services. Subject to payment of applicable fees, you may use Outputs for your internal business and project purposes. VeriCord retains all rights in the underlying platform, software, workflows, models, templates, methods, and generalized know-how that do not disclose Customer Content.
Outputs are subject to the professional judgment disclaimer and require appropriate human review.
External standards and third-party content
The Services may identify or link to third-party codes, standards, agency guidance, manufacturer information, or other references. Those materials may be subject to third-party intellectual-property rights, license terms, access restrictions, or fees. VeriCord does not grant rights in third-party content beyond those lawfully available to you.
Plans, fees, and review consumption
Fees are described on the pricing page, at checkout, or in an order form or other commercial agreement. Review processing may be measured using the consumption unit shown at purchase. Before a paid review is initiated, VeriCord may display the applicable consumption and any incremental charge.
- Subscription fees are billed monthly or annually, as selected, in advance, unless checkout or an order form says otherwise.
- Implementation, integrations, review consumption, premium verification, Assurance Review, taxes, and other services may carry separate charges.
- Included review capacity is subject to the plan terms shown at purchase or in the order form.
- VeriCord may revise future pricing or consumption definitions on advance notice. A change will not retroactively increase a charge already approved for a submitted review.
Payment and renewal
Fees are due as shown at checkout or in the applicable order form. Subscriptions renew for successive periods unless you cancel in billing settings. Cancellation stops renewal. Access continues through the end of the period already paid, unless these Terms are ended for cause. You are responsible for applicable taxes other than taxes based on VeriCord's net income.
Acceptable use
You must follow the acceptable use rules. You may not use the Services to violate law, professional obligations, confidentiality restrictions, or third-party rights; to upload malicious code or content you are not authorized to process; to probe, disrupt, bypass, or defeat security or usage controls; to reverse engineer, scrape, benchmark for competitive publication, or extract underlying models, prompts, routing logic, or proprietary methods, except where that restriction is prohibited by law; to resell or provide the Services to third parties except under an authorized partner arrangement; or to use Outputs as a substitute for required licensed professional judgment or sign-off.
Security and data handling
VeriCord will maintain reasonable administrative, technical, and organizational safeguards appropriate to the Services, as described on the security page or in a signed agreement. You are responsible for configuring access appropriately and for deciding whether the Services are suitable for the sensitivity of the data you submit.
Privacy
Personal information is processed as described in the privacy notice and, where a signed agreement includes one, the parties' data processing addendum.
Confidentiality
For enterprise or paid customer relationships, each party will protect the other party's non-public information using at least reasonable care and will use it only to perform or receive the Services. Confidentiality does not apply to information that is lawfully public, independently developed, already known without restriction, or lawfully received from another source.
Intellectual property
VeriCord and its licensors own the Services and all associated software, interfaces, models, workflows, documentation, trademarks, and improvements. Except for the limited rights expressly granted, no rights are transferred.
Feedback
If you provide product suggestions or feedback, VeriCord may use them without restriction or obligation, provided VeriCord does not disclose Customer Content or your confidential information in doing so.
Beta and preview features
Features identified as beta, preview, pilot, or evaluation may be modified or discontinued and may have reduced support or functionality. They are provided for evaluation unless otherwise agreed.
Warranties and disclaimers
VeriCord will provide the Services in a professional and commercially reasonable manner. EXCEPT AS EXPRESSLY PROVIDED IN A SIGNED AGREEMENT, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." VERICORD DISCLAIMS IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL IDENTIFY EVERY PROJECT ISSUE OR BE ERROR-FREE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM THESE TERMS. EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICES IN THAT PERIOD, OR ONE HUNDRED U.S. DOLLARS IF YOU PAID NOTHING.
These limits do not apply to liability that cannot legally be limited, including fraud or willful misconduct, or to your responsibility for Customer Content.
Indemnification
You will defend and indemnify VeriCord against third-party claims arising from Customer Content, your unlawful use of the Services, or your violation of third-party rights, except to the extent the claim is caused by our breach of these Terms. A signed enterprise agreement may include reciprocal intellectual-property indemnities and more detailed procedures.
Suspension and termination
You may stop using the Services and close your account at any time. VeriCord may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, or misuse of the Services. Where it is reasonable and lawful, we will give notice and a chance to cure a breach that can be cured. Upon termination, access ends and Customer Content is handled under the retention terms in the privacy notice. Sections that by their nature should survive, including ownership, confidentiality, disclaimers, liability limits, and indemnity, survive.
Changes
VeriCord may update the Services and these Terms. Material changes will be posted on this page, in the Services, or by email, and the date above will change. Changes apply prospectively unless the law requires otherwise. If you continue to use the Services after an update takes effect, you accept the updated Terms.
Governing law
If a signed agreement names a governing law and venue, that selection controls. These website Terms do not select a state or court. That selection will be added when the legal entity and governing law are confirmed.
